Acceptance
These terms apply to Pearnly Cowork, Pearnly DMS, Pearnly ERP, CC Desktop and the pearnly.com website (together, the “service”), provided by MR. ERP COMPANY LIMITED (registration no. 0315551000297, “we”).
By using the service, you accept these terms and the privacy policy on behalf of your business. If you do not agree, do not use the service.
The service
The service reads documents such as tax invoices, receipts, bank statements, transfer slips and ID cards so that you can check and record them and, on your instruction, send them to the systems you choose. Documents can also be sent and received through LINE. Available features are those enabled in your account.
Accounts
- We open accounts for business customers. Self sign-up is not available.
- Your business's administrators manage member accounts and permissions, and the business is responsible for all activity under its accounts.
- Change the initial password as soon as you receive it, and keep passwords and CC Desktop pairing codes confidential. Tell us immediately if someone else is using your account.
Fees and top-ups
- The service uses a prepaid balance. You top up by bank transfer and upload the slip; we check it and then credit the amount actually received in our bank account. The balance does not expire while the account is active.
- Charges follow the prices published in the service and apply only when a document is read successfully. Every upload is read and charged, including a file uploaded again.
- Monthly plans are paid from the balance, run for 30 days and do not renew automatically. Unused quota expires at the end of the cycle. Changing plans during a cycle starts a new cycle, and the remaining quota of the old plan expires.
- When the balance is insufficient, document reading pauses. Work already completed is charged as normal, so the balance may become negative and must be topped up before you continue.
- We announce price changes in the service and on this website 30 days before they take effect. A plan already purchased keeps its price until the end of its cycle.
Refunds
Top-ups and plan fees are non-refundable, non-transferable and cannot be exchanged for cash. If you are charged in error, tell us by email or LINE within 30 days of the charge and we will correct it once verified, unless the law provides otherwise.
Your data
Documents and data you send to the service remain yours. You authorise us to store, process and transfer them to provide the service, including to the providers listed in the privacy policy.
You confirm that you are entitled to send this data and that, where it contains other people's personal data, you have informed them and have a lawful basis. Personal data is processed as described in the privacy policy.
AI reading results
Documents are read by AI, and results may contain errors or omissions. Check them before recording, filing taxes or making payments. The service is not accounting, tax or legal advice; filings and decisions based on the results are your responsibility.
Sending data and CC Desktop
- When you instruct a push, we write the data into the system you choose as instructed. A document pushed several times is written that many times.
- CC Desktop is installed on your computer, reads the folders you authorise and writes entries directly into the account set of your ERP or accounting software. CC Desktop updates itself to the latest version automatically.
- You are responsible for the security and backup of your computer and account sets.
Prohibited use
When using the service, you must not:
- submit forged documents, fake tax invoices or improperly obtained data
- use the service for unlawful or fraudulent purposes
- use automated tools to harvest data, bypass access controls or place abnormal load on the system
- reverse engineer, break into or interfere with the service's security measures
- let anyone outside your business use your accounts
If you do, we may suspend or end the service without refunding fees paid, and we will report to the authorities where the law requires.
Availability
We work to keep the service running but do not guarantee that it will be uninterrupted or error-free. The service may pause during maintenance and upgrades. It relies on third parties such as LINE and Google, whose outages are beyond our control.
We may change, add or withdraw features. We will give notice before withdrawing a paid feature.
Intellectual property
The service's software, interfaces, brand and documentation belong to MR. ERP COMPANY LIMITED. While you use the service, you may use it for your business, but you may not copy or resell it or use it to build a competing product.
Limitation of liability
To the extent permitted by law:
- we are not liable for indirect loss, loss of profit, fines, or loss caused by your actions or by third-party services
- our total liability for any event is limited to the fees you actually paid us in the 3 months before the event
These limits do not apply to loss caused by our wilful misconduct or gross negligence, or to liability that cannot be limited by law.
Closing an account
You may ask us to close your account at any time by email or LINE. After closure, data is deleted as set out in the privacy policy and cannot be recovered, so export what you need first. Remaining balance is not refunded.
We may suspend or end the service for unpaid fees, breach of these terms or where the law requires.
Changes to these terms
If we make important changes, we will announce them on this page and in the service before they take effect. Continuing to use the service after a change takes effect means you accept the updated terms.
Governing law
These terms are governed by Thai law. Disputes are first resolved by negotiation; failing that, they go to the competent Thai courts. If the Thai version differs from another language version, the Thai version prevails.
